5. Intellectual Property Rights

Client Content

You retain ownership of all content you provide to us. You grant us a license to use your content solely for the purpose of providing our services.

Developed Solutions

Upon full payment, clients receive ownership of the final delivered product. However, we retain the right to use general methodologies, techniques, and know-how developed during the project for future work.

Third-Party Components

Some solutions may incorporate third-party components or libraries. These components remain subject to their respective licenses and terms.

6. Payment Terms

• Late payments may incur additional charges
• Work may be suspended for accounts with overdue payments
• All prices are subject to applicable taxes

7. Limitation of Liability

Assert IT Solutions shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of our services.

Our total liability for any claim related to our services shall not exceed the amount paid by you for the specific service giving rise to the claim.

8. Warranty and Support

We provide a limited warranty on our work for a period specified in individual project agreements, typically 30-90 days from project completion.

Support Services

Ongoing support and maintenance services are available separately and subject to additional agreements and fees.

9. Confidentiality

We respect the confidentiality of your business information and will not disclose any confidential information to third parties without your express consent, except as required by law.

10. Termination

Either party may terminate services with written notice. In case of termination:

• You are responsible for payment of all work completed
• We will deliver all completed work and source files
• Confidentiality obligations will survive termination
• Both parties will return or destroy confidential information

11. Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including but not limited to natural disasters, government actions, or technical failures.

12. Governing Law

These terms shall be governed by and construed in accordance with the laws of India. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts in Ghaziabad, Uttar Pradesh.

13. Changes to Terms

We reserve the right to modify these terms at any time. Changes will be effective immediately upon posting on our website. Your continued use of our services constitutes acceptance of any changes.
